Simple - a 32 bit OS can address a total of 2^32 = 4294967296 bytes or 4GB of memory
Because of original design considerations - you cannot have ALL of that 4GB. The most you can get is 3GB - usually less. (long story - it's one of those "it's just that way"s) A 64 bit OS can address a total of 2^64 = 17179869184 GB of RAM (we call this a "shit-ton of memory" ;) So if you need or will use more than 2GB of ram - you go 64 bit Jim
